These Terms supplement but do not replace such service agreements. In the event of any conflict between these Terms and a specific service agreement, the service agreement shall prevail with respect to the specific services covered.
Fees for our corporate advisory services are specified in individual service agreements or proposals. Payment terms, methods, and schedules will be clearly outlined in such agreements. Unless otherwise specified, fees are payable in Euros and exclude applicable taxes. We reserve the right to suspend services for overdue payments and to charge interest on late payments as permitted by Dutch law.
All content on our website, including but not limited to text, graphics, logos, images, software, and methodologies, is the property of Omniversus B.V. or our licensors and is protected by Dutch and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of our content without our express written permission. Any methodologies, frameworks, or intellectual property developed by Omniversus in the course of providing services remain our property unless otherwise agreed in writing.
We understand that our corporate advisory services may involve access to confidential and proprietary information. We maintain strict confidentiality protocols and will not disclose client information except as required by law or with explicit client consent. Specific confidentiality terms are detailed in individual service agreements and non-disclosure agreements where applicable.
To the maximum extent permitted by Dutch law, Omniversus B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or relating to your use of our website or services. Our total liability for any claim arising from or relating to our services shall not exceed the total fees paid by you for the specific services giving rise to the claim during the twelve months preceding the claim.
Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied. While we strive to provide accurate and up-to-date information, we do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components. These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts of the Netherlands. The parties agree to submit to the jurisdiction of such courts and waive any objection to venue or inconvenient forum.
In the event of any dispute arising from these Terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiations. If such negotiations fail, disputes may be submitted to mediation before resorting to litigation. Any mediation shall be conducted in accordance with the mediation rules of the Netherlands Mediation Institute (NMI).
Either party may terminate the use of our website or specific service agreements in accordance with the terms specified in individual agreements. We reserve the right to suspend or terminate access to our website immediately, without prior notice, for any breach of these Terms or for any other reason at our sole discretion. Upon termination, your right to use our website and services will immediately cease, but provisions regarding intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.
Neither party shall be liable for any failure or delay in performance under these Terms or any service agreement due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, pandemics, or other unforeseeable events. In such cases, the affected party shall notify the other party promptly and use reasonable efforts to mitigate the impact.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely achieves the intent of the original provision.
